Terms & Conditions (Algemene Voorwaarden)

These Terms & Conditions govern the relationship between NewDeas ("we", "us", "our") and our clients or website users. By accessing our site or requesting our Fractional CTO, Software Consultancy, or Software Product Advisory services, you agree to these terms.
1. Definitions and Applicability
These terms apply to all service agreements, proposals, and deliveries of professional services by NewDeas. Any deviations must be explicitly agreed upon in writing. Client terms are rejected unless specifically accepted by us in writing.
2. Scope of Services
We provide advisory and leadership services on an "effort-basis" (inspanningsverbintenis) rather than a "result-basis" (resultaatsverbintenis), unless explicitly specified in a written Statement of Work (SOW). We perform our services with professional diligence and standard-compliant tech governance.
3. Proposals and Engagement
All proposals or quotes issued by NewDeas are non-binding and subject to review. An engagement is officially formed only upon signature of a written Service Agreement or Statement of Work by both parties.
4. Intellectual Property
Unless agreed otherwise in writing:
- All pre-existing intellectual property, templates, tools, and methodologies of NewDeas remain our sole property.
- Intellectual property developed specifically for a client under a paid engagement is transferred to the client upon full payment of the respective invoices.
5. Liability and Indemnity
To the maximum extent permitted by Dutch law, our total liability for professional negligence or breach of contract is limited to the fees paid by the client to NewDeas for the specific task giving rise to liability during the preceding three (3) months. We are never liable for indirect, consequential, or incidental damages (such as lost profits or business disruption).
6. Governing Law and Jurisdiction
These Terms and all agreements between NewDeas and clients are governed exclusively by the laws of The Netherlands. Any disputes arising from or in connection with these terms will be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, The Netherlands.
